Welcome to Numbers & Naps. These Terms of Service (“Terms”) govern your use of numbersandnaps.com (the “Site”) and any products you purchase from us, including the Shopify Financial Operations Starter Kit and other digital resources we offer now or in the future. By using the Site or purchasing from us, you agree to these Terms. Please also review our Privacy Policy and Refund Policy, which are part of this agreement by reference.

1. About Numbers & Naps

Numbers & Naps provides financial operations resources, workbooks, and templates for Shopify and e-commerce brands. We currently sell digital, downloadable products.

2. Using Our Site

You agree to use the Site only for lawful purposes and in a way that doesn't infringe on the rights of others or restrict anyone else's use of the Site. You're responsible for keeping any order information accurate and up to date, and for any activity that happens under your email when purchasing from us.

3. Digital Products

This section applies specifically to the digital products we sell, including the Shopify Financial Operations Starter Kit and any future digital workbook, template, guide, or similar downloadable resource (each, a “Digital Product”).

3.1 Access and Delivery

Digital Products are downloadable — no physical item is shipped. After your order is completed, you'll receive an email with a secure download link, or, where available, immediate access from your order confirmation or order status page. If you don't see it within a few minutes, please check your spam or promotions folder.

If you run into a genuine problem accessing your purchase — for example, the download link doesn't work, the file appears corrupted, or you never received the delivery email — contact us at numbersandnaps@gmail.com within 30 days of purchase and we'll make sure you're able to access what you paid for. Access problems are different from refund requests, and we aim to resolve them quickly at no cost to you.

3.2 License and Permitted Use

When you purchase a Digital Product, we grant you a limited, non-exclusive, non-transferable license to use it for your own personal or internal business purposes. Your purchase does not transfer ownership of the product, or any copyright, trademark, or other intellectual property rights in it — you're licensing the right to use the material, not buying the material itself.

If you purchase on behalf of a business, your own employees and contractors may use the product internally to support that business's operations. This does not permit sharing the underlying files outside your organization, and the license belongs to the purchasing individual or business — it doesn't extend to other companies, clients, or the general public.

3.3 Copyright and Restrictions

All Numbers & Naps Digital Products — including their text, structure, design, worksheets, and formatting — are original works protected by copyright and remain the intellectual property of Numbers & Naps. Purchasing a product does not transfer any ownership or intellectual property rights to you.

Without our prior written permission, you may not:

  • copy, reproduce, or distribute the files to anyone outside your own organization;
  • share the PDF or any other files with others, including on social media, in group chats, or through file-sharing services;
  • republish, post, or upload the material to any public or shared website, repository, or online platform;
  • resell, sublicense, rent, or otherwise commercialize the product or any part of it;
  • give the product away for free to others;
  • modify the material and redistribute or resell it, whether alone or as part of another product;
  • remove, obscure, or alter any Numbers & Naps copyright notice, branding, or attribution; or
  • represent the material, in whole or in part, as your own original work.

Unauthorized copying, distribution, or use of our Digital Products may constitute copyright infringement under applicable law. We reserve all rights not expressly granted here, including the right to pursue appropriate remedies available to us under applicable law in the event of a violation.

3.4 Educational Purposes Only

Numbers & Naps Digital Products, including the Shopify Financial Operations Starter Kit, are educational and informational resources. They're designed to help you think through your business's financial operations and are not individualized accounting, tax, legal, or financial/investment advice.

These materials are not a substitute for advice from a qualified accountant, tax professional, attorney, or financial advisor familiar with your specific situation. Every business is different, and we do not guarantee any particular business or financial outcome from using our Digital Products. Decisions you make based on these materials are your responsibility.

3.5 Future Digital Products

This section applies automatically to any current or future Numbers & Naps Digital Product, so we don't need a new agreement every time we release something new. If a specific product ever requires different terms, we'll note that clearly on the product page or within the product itself, and those specific terms will control for that product.

4. Pricing and Payment

Prices are listed in U.S. dollars and are current at the time of purchase. Payment is processed securely through our e-commerce platform at the time you place your order. We may update our prices at any time, but changes won't affect orders you've already placed.

5. Refunds

Refunds are handled under our Refund Policy, which explains that Digital Products are generally non-refundable once accessed or downloaded, while still providing a fair process for genuine technical or access problems. Please refer to that policy for full details.

6. Site Content and Intellectual Property

Apart from the Digital Products described above, the Numbers & Naps name, logo, and the text, images, and design of the Site itself are also our property or used with permission, and are protected by applicable intellectual property laws. You may view and share pages of the Site for personal, non-commercial purposes, but you may not otherwise copy, reproduce, or repurpose our website content without our permission.

7. Disclaimers and Limitation of Liability

We work to keep the Site and our Digital Products accurate, reliable, and available, but we don't guarantee the Site will always be error-free or uninterrupted, and we provide our Digital Products "as is," without warranties beyond what's required by law.

To the fullest extent permitted by law, Numbers & Naps isn't liable for indirect, incidental, or consequential damages arising from your use of the Site or a Digital Product. Our total liability for any claim relating to a purchase is limited to the amount you paid for that purchase.

8. Changes to These Terms

We may update these Terms from time to time, for example as we add new products or as our practices evolve. We'll update the "Last updated" date above when we do. Continuing to use the Site or purchase from us after changes take effect means you accept the updated Terms.
